Agreement to Terms

These Terms of Service ("Agreement") constitute a legally binding contract between you ("Client," "you," or "your") and YS Tech Solutions, operating under the MudahAI brand ("Company," "we," "us," or "our"). By accessing our website, engaging our services, or entering into a service agreement with us, you agree to be bound by these terms.

If you do not agree to these terms, you must not use our services. These terms apply to all users, including businesses, organizations, and individuals.

This Agreement is governed by the laws of Malaysia and subject to Malaysian jurisdiction. Both parties agree to submit to the exclusive jurisdiction of Malaysian courts.

Service Description

YS Tech Solutions, operating under the MudahAI brand, provides automation and AI-powered workflow services designed to help your business streamline operations, reduce manual tasks, and improve efficiency. Our services may include:

• •Custom automation workflows tailored to your business needs
• •Integration with your existing tools and platforms
• •Data processing and management services
• •Customer communication automation
• •Operational support and maintenance

The specific services provided are outlined in your Service Agreement or proposal. We reserve the right to modify services with 30 days' notice.

Use License

We grant you a limited, non-exclusive, non-transferable license to use our services strictly in accordance with these Terms. You may not:

• •Sublicense, sell, rent, or transfer your account to others
• •Reverse engineer, decompile, or attempt to derive source code
• •Remove or obscure any proprietary notices or labels
• •Use automated tools to extract or harvest data from our platform
• •Bypass security measures or access unauthorized portions
• •Resell our services as your own offering

User Responsibilities

You are responsible for:

• •Maintaining the confidentiality of your login credentials
• •Notifying us immediately of any unauthorized account access
• •Complying with all applicable laws and regulations
• •Ensuring any data you upload is accurate, complete, and legally obtained
• •Obtaining necessary consent from individuals whose data is processed
• •Taking responsibility for all activities under your account

You must not use our services to:

• •Engage in illegal activities or violate any laws
• •Violate intellectual property rights of others
• •Harass, threaten, defame, or abuse anyone
• •Send unsolicited commercial communications or spam
• •Process personal data without lawful basis or consent
• •Attempt to gain unauthorized access to systems or networks

Payment Terms

Intellectual Property Rights

Our IP: All content, software, workflows, documentation, and materials created by us remain our exclusive property. You receive a limited license to use these materials for the purposes of receiving our services.

Your Data: You retain ownership of business data you provide. You grant us a license to use, process, and store your data solely to deliver our services. We will not use your data for any other purpose without explicit written consent.

Customizations: Custom automation workflows developed specifically for your business are owned by you, subject to our right to reuse non-customized components and underlying platform technology.

Data Protection & Security

We are committed to protecting your data in accordance with the Personal Data Protection Act 2010 (PDPA) and other applicable data protection laws. Our responsibilities include:

• •Implementing appropriate technical and organizational security measures
• •Processing personal data only as instructed by you
• •Maintaining confidentiality of your data
• •Assisting you in responding to data subject requests
• •Notifying you of data breaches without undue delay

Your Responsibilities: You are responsible for obtaining proper consent and legal basis for processing personal data, and for ensuring compliance with data protection laws in your jurisdiction.

Service Level & Availability

We aim to provide reliable services with industry-standard uptime. However:

• •Services may be unavailable for scheduled maintenance (with notice when possible)
• •We do not guarantee uninterrupted or error-free service
• •Temporary disruptions due to factors beyond our control (e.g., third-party services, internet outages) are excluded from liability

Specific Service Level Agreements (SLAs) and uptime guarantees, if any, are outlined in your Service Agreement.

Warranty Disclaimer

AS-IS BASIS: Our services are provided on an "as-is" and "as-available" basis. We disclaim all warranties, express or implied, including:

• •Merchantability and fitness for a particular purpose
• •Title, non-infringement, and accuracy
• •That services will meet your specific requirements
• •That defects will be corrected or errors prevented

Some jurisdictions do not allow disclaimers of implied warranties, so some of these disclaimers may not apply to you.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• •In no event shall YS Tech Solutions be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business interruption, even if advised of the possibility of such damages
• •Our total liability under this Agreement shall not exceed the total fees paid by you in the 12 months preceding the claim
• •These limitations apply to all claims, whether in contract, tort, or otherwise

Some jurisdictions do not allow limitation of liability, so this limitation may not apply to you. In such cases, our liability is limited to the maximum extent permitted by law.

Indemnification

You agree to indemnify, defend, and hold harmless YS Tech Solutions from any claims, damages, losses, or expenses (including legal fees) arising from: (i) your violation of these Terms; (ii) your misuse of our services; (iii) your infringement of any third-party rights; (iv) data you provide that violates laws or infringes rights; or (v) your violation of any applicable law or regulation.

Termination

Confidentiality

Each party agrees to maintain the confidentiality of the other party's proprietary information and trade secrets. Confidential information:

• •May only be used for purposes permitted under this Agreement
• •Must be protected with reasonable security measures
• •May be disclosed only to employees or contractors with a need to know

Confidentiality obligations do not apply to information that is publicly available, independently developed, or legally required to be disclosed.

Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or prominent notice on our website with at least 30 days' notice. Your continued use of our services after changes become effective constitutes your acceptance of the revised Terms.

Dispute Resolution

Limitation of Claims

Any claim arising under these Terms must be brought within one year from the date the cause of action arose, or it will be permanently waived.

Third-Party Services

Our services may integrate with or depend on third-party platforms and services (e.g., email providers, payment gateways, APIs). We are not responsible for:

• •Availability or performance of third-party services
• •Changes to third-party services that affect our offerings
• •Data breaches or security issues in third-party systems

You are responsible for reviewing and accepting third-party terms of service.

Entire Agreement

These Terms, together with your Service Agreement, proposal, and our Privacy Policy, constitute the entire agreement between you and YS Tech Solutions regarding your use of our services. All previous agreements, understandings, and negotiations are superseded.

Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it valid, or if not possible, severed. The remaining provisions will continue in full force and effect.

Waiver

No waiver of any provision or breach of these Terms is effective unless in writing signed by both parties. Our failure to enforce any right does not constitute waiver of that right.
